GENERAL TERMS AND CONDITIONS

General Terms and Conditions for visitors to the SPRINT Robotics website and webshop, and for visitors and participants (hereafter referred to as “Visitor”), exhibitors and sponsors (hereafter referred to as “Exhibitors and Sponsors”) of SPRINT Robotics events, including but not limited to webinars, seminars, industry and fitness challenges, roadshows and the annual World Conference (hereafter referred to as “Events”).

 

I. WEBSITE AND WEBSHOP

The website and webshop of SPRINT Robotics Events is operated by Stichting SPRINT Robotics Collaborative (hereafter “SPRINT Robotics”). Throughout the site, the terms “we,” “us,” and “our” refer to SPRINT Robotics.

By visiting our website and/or purchasing products from us, you engage in our service and agree to be bound by these Terms and Conditions. These Terms and Conditions apply to all users of the website and all event attendees (including sponsors, speakers, and exhibitors), such as browsers, vendors, customers, merchants, and content contributors.

Any new features or tools added to the webshop are also subject to these Terms and Conditions. We reserve the right to update, change, or replace any part of these Terms and Conditions by posting updates on our website. It is your responsibility to check for changes. Continued use of the website after updates constitutes acceptance of those changes.

The SPRINT Robotics webshop is hosted on PheedLoop which provides the online e-commerce platform for selling SPRINT Robotics products and services.

A. DATA

The email address of Visitors, Exhibitors and Sponsors may be used for communication regarding SPRINT Robotics Events.

SPRINT Robotics operates under the European General Data Protection Regulation (GDPR). SPRINT Robotics processes personal data solely for event registration and attendance-related updates (e.g., event details, mobile application notifications). Payments are processed by Stripe; SPRINT Robotics does not receive or store credit card details. PheedLoop and Stripe do not share your credit or debit card details with third parties.

Any personal data you provide will be processed with appropriate care. SPRINT Robotics may amend these Terms and Conditions periodically, and updated versions take effect upon being posted on the website. The amended Terms and Conditions apply to any purchases made after that date.

These Terms and Conditions take effect upon order acceptance and supersede any prior agreements, whether oral or written. We advise you to print and retain a copy for reference. If any term is deemed invalid or unenforceable, it will be struck out while the remaining terms continue to apply.

B. ONLINE WEBSHOP TERMS

By visiting the SPRINT Robotics website and/or purchasing products from the SPRINT Robotics webshop, you confirm that you are at least the age of majority in your state or province of residence, or that you have given consent for any minor dependents to use this site.

You may not use our products for illegal or unauthorized purposes, nor violate any applicable laws (including copyright laws) while using the service. You must not transmit worms, viruses, or destructive code. A breach of these Terms and Conditions may result in immediate termination of services. We reserve the right to refuse service to anyone at any time for any reason. Your content (excluding credit card information) may be transferred unencrypted over various networks. Credit card information is always encrypted during transmission. You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the service without express written permission.

C. ACCURACY, COMPLETENESS, AND TIMELINESS OF INFORMATION

The information provided on this site is for general informational purposes only and is not guaranteed to be accurate, complete, or current. We disclaim all liability for any reliance placed on the content and any resulting consequences. We reserve the right to modify, update, or remove site content at any time without obligation to provide notice or updates. It is your responsibility to review any changes. Additionally, we may revise these Terms and Conditions at our sole discretion, and continued use of the site constitutes acceptance of any modifications.

D. MODIFICATIONS TO SERVICE AND PRICES

Prices are subject to change without notice. We reserve the right to modify or discontinue the service (or any part thereof) without notice. We shall not be liable for modifications, price changes, suspensions, or discontinuation of services.

E. PRODUCTS OR SERVICES

We reserve the right to limit sales to any person, geographic region, or jurisdiction on a case-by-case basis. Product descriptions, event descriptions and pricing may change at any time without notice. We do not guarantee that products, services, or information will meet expectations or that errors will be corrected.

F. ACCURACY OF BILLING AND ACCOUNT INFORMATION
We may limit or cancel orders at our discretion, including those placed under the same customer account, credit card, or billing/shipping address. In such cases, we will attempt to notify you using the contact details provided. Orders deemed to be placed by resellers or distributors may be restricted. You agree to provide current, complete, and accurate purchase and account information, updating details as needed.

G. RETURN POLICY
All Event Passes are non-refundable. They may be transferred to another company representative upon agreement with the SPRINT Robotics Events Team. Contact events@sprintrobotics.org for assistance.

H. POSTPONEMENT
In the event of postponement, SPRINT Robotics will not be liable for any costs or damages incurred by the Visitor (e.g., travel or accommodation expenses). Participant, Exhibitor and/or Sponsor Packages and related services are non-refundable but transferable to the new event dates of the Event.

I. OPTIONAL TOOLS
We provide access to third-party tools “as is” and “as available,” without warranties or liability. Use of optional tools is at your own risk.

J. THIRD-PARTY LINKS
Our site may contain links to third-party websites. We are not responsible for evaluating their content or accuracy and disclaim any liability related to third-party materials, products, or services.

K. ERRORS, INACCURACIES, AND OMISSIONS
We reserve the right to correct errors, inaccuracies, or omissions and to modify or cancel orders if any information is inaccurate at any time without prior notice.

L. PROHIBITED USES
You are prohibited from using this site or its content for unlawful purposes, harassment, fraud, malware distribution, spamming, or security interference. We reserve the right to terminate use for any violations.

M. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
We do not guarantee uninterrupted, secure, or error-free service. Use of our service is at your own risk. We are not liable for any damages arising from service use, except as required by law.

N. INDEMNIFICATION
You agree to indemnify SPRINT Robotics and its affiliates against claims arising from your breach of these Terms and Conditions or violation of any laws or third-party rights.

O. SEVERABILITY
If any provision of these Terms and Conditions is deemed unlawful, void, or unenforceable, it will be severed without affecting the validity of the remaining provisions.

P. TERMINATION
These Terms and Conditions remain in effect unless terminated by you or us. We may terminate this agreement if you fail to comply with its terms.

Q. ENTIRE AGREEMENT
These Terms and Conditions constitute the entire agreement between you and us, superseding prior agreements. Any ambiguities shall not be construed against the drafting party.

R. LIABILITY
SPRINT Robotics disclaims all warranties and liabilities related to website content, errors, or service purchases. Liability for indirect or consequential damages is excluded to the fullest extent permitted by law.

S. USE OF PERSONAL INFORMATION
For the purpose of enhancing your experience at the event, your details may be passed on to online networking services including the SPRINT Robotics mobile event app. This will in some cases enable you to communicate with other attendees during the event.

 

II. VISITORS OF SPRINT ROBOTICS EVENTS

A. EVENT VENUE RULES & REGULATIONS
Visitors agree to abide by the terms and conditions of the event venue.

B. PHOTOGRAPHY
As a Visitor, you may take photographs for your own private use. No commercial photography, filming or recording of any part of the event is allowed without SPRINT Robotics’ prior written consent. For the avoidance of doubt, you may not video, film, transmit or other SPRINT Robotics record (including audio recordings) any seminar, session, exhibit or attendee without the prior written consent of SPRINT Robotics. All photographic rights are reserved by SPRINT Robotics.
SPRINT Robotics may at its sole discretion arrange for photographs and/or video and/or sound recordings to be made at or in connection with the event.

C. CODE OF CONDUCT
SPRINT Robotics is committed to providing a safe and respectful environment at all events. Participants are expected to uphold appropriate standards of behavior and avoid any conduct that may be harmful or disruptive to others.
Harassment of any kind will not be tolerated. This includes offensive or unwelcome behavior based on ethnicity, religion, disability, physical appearance, gender, or sexual orientation. Intimidation, stalking, unwelcome attention, offensive gestures or comments, inappropriate physical contact, and deliberate disruption of talks or events are also considered unacceptable.
Participants who are asked to stop inappropriate behavior must comply immediately. Failure to do so may result in removal from the event and potential exclusion from future SPRINT Robotics events. In the case of SPRINT Robotics employees, disciplinary action may be taken as deemed appropriate.
Anyone who experiences or witnesses’ misconduct is encouraged to report it to SPRINT Robotics staff. While individuals are not required to confront a harasser directly, reporting the behavior allows SPRINT Robotics to investigate and take necessary action. If a participant is in immediate danger, hotel security or local law enforcement should be contacted before notifying SPRINT Robotics. SPRINT Robotics reserves the sole discretion to determine appropriate actions in response to violations of this policy. By attending a SPRINT Robotics event, participants agree to comply with this Code of Conduct.

 

III. EXHIBITOR TERMS AND CONDITIONS

The following conditions apply for companies and individuals exhibiting at SPRINT Robotics Events.

A. General
SPRINT Robotics shall use commercially reasonable efforts to provide the Exhibitor with the rights, benefits, and services as outlined in the selected Exhibition Package.

B. Liability

    1. The Exhibitor is responsible for all damages caused by Exhibitor or their representatives. The Exhibitor must report all damages to SPRINT Robotics and the Venue. In no event shall SPRINT Robotics, or its directors, officers, employees, or agents, be liable for any consequential, incidental, special, punitive, exemplary or indirect damages, including but not limited to any damages for lost profits, loss of anticipated savings, loss of business opportunity, loss or damage resulting from third party claims or for the consequences of defects. In no event shall the total liability of SPRINT Robotics exceed the amounts paid by the Exhibitor or the representative(s) , if any, for the services.
    2. Exhibitors’ personnel or third parties engaged by or on behalf of Exhibitor, and any other users of the hired premises, as well as their property, are in the hired premises at their own risk, or, as the case may be, at the risk of these parties, the Venue and/or SPRINT Robotics are not required to insure these risks.
    3. Exhibitors and guests will not hold the Venue and/or SPRINT Robotics accountable against any claim and/ or any damage that may occur during the conference or associated events. The Exhibitor is required to provide – at the first request of the Venue and/or SPRINT Robotics proof that he has taken out an insurance policy covering his civil liability vis-à-vis third parties for up to 2 million for during the event including set-up and demobilization, in addition to a fully comprehensive insurance policy covering the goods belonging to him or conferred upon him. The insurances taken out should include a waiver of recourse against the Venue and/or SPRINT Robotics and its insurers.
    4. The Venue and/or SPRINT Robotics are not liable for any damage(s) suffered by Exhibitors as a consequence of the activities of other Exhibitors or of obstacles to the use of the hired premises which are caused by third parties. The Exhibitor shall fully indemnify the Venue and/or SPRINT Robotics against all claims which third parties may be able to enforce against the Venue and/or SPRINT Robotics in connection with acts and omissions on the part of Exhibitors and/or persons for whom Exhibitor is liable or who are present in the premises on account of the event.
    5. The Venue and/or SPRINT Robotics will not be responsible for any loss or damage(s) of merchandise, equipment or valuables left in the Venue’s premises prior, during or after a function. Items of value should be insured by the Exhibitor.

 

C. Payment and Cancellation

Cancellation by the Exhibitor

    1. The Exhibitor may cancel with immediate effect without the obligation for Exhibitor to pay any compensation to SPRINT Robotics in the event of SPRINT Robotics’ bankruptcy, suspension payments or other inability to perform its obligations.
    2. Cancellations by the Exhibitor are possible up to 60 days before the Event. A refund may be granted only if the invoice has already been paid in full before the 60 days and the cancellation is submitted in writing. If a cancellation notification is received 60 days or less before the Event begins, the exhibition fee is non- refundable; and if not yet paid, the full amount of the exhibition fee must still be paid by the Exhibitor within ultimately two weeks to SPRINT Robotics.
    3. In the event of cancellation by the Exhibitor of one or more exhibition places 60 days or less before the Event begins, the Exhibitor shall be obliged to pay SPRINT Robotics all direct costs associated with Exhibitor’s participation in the Event, including taxes.

 

Cancellation by SPRINT Robotics:

    1. SPRINT Robotics may cancel exhibition space for the Exhibition with immediate effect without the obligation for SPRINT Robotics to pay any compensation to the Exhibitor:
      • in the event of the Exhibitors’ bankruptcy, suspension of payments or other inability to fulfill its obligations (financial and otherwise)
      • in the event the Exhibitor has not paid the invoice for the exhibition space in full 14 days before the start of the Conference. In case exhibitors register within 14 days of the Conference SPRINT Robotics will not guarantee participation in that short term and the Exhibitors are required to pay the invoice (plus extra costs for administration) immediately and completely.
      • if material property of the Exhibitor is seized or becomes subject to similar measures ordered by a court
      • in case of a change of control over the Exhibitors’ company
      • on the instructions of the authorities, for example where there is a breach or threat of a breach to public order, or,
      • if the Exhibitor fails to perform its material obligations after being given written notice of default (in so far as this is reasonably feasible in relation to the event)
    2. Cancellation by SPRINT Robotics on one of the grounds set out above, is deemed a cancellation at the expense and risk of the Exhibitor. In all cases, the Exhibitor shall be obliged to pay SPRINT Robotics all direct costs associated with Exhibitor’s participation in the event, including taxes (i.e. the full amount of the invoice or amount to be invoiced based on reservations made).
    3. Exhibition space (tabletops, kiosks, booths, lightboxes, space only) is allocated for the exclusive use of the Exhibitor and may not be used and/or shared with other parties and/or brand names, without the prior written consent of SPRINT Robotics, which may attach additional conditions to its approval.

 

D. Postponement

In the unfortunate event of postponement of a SPRINT Robotics Event, SPRINT Robotics will not be liable to the Exhibitor (company and/or individual) for any expenditure, damage or loss incurred by you as a result of the postponement. This includes but is not limited to any travel costs such bus, car, tram, train, or plane tickets, as well as any bookings for accommodation.

The purchase of exhibition space (tabletop, kiosk, booth, lightbox or space only) and additional products or services are non-refundable in their entirety. If the Event is postponed, exhibition space (tabletop, kiosk, booth, lightbox or space only) and additional products or services that have already been purchased will be transferable to the new dates of the SPRINT Robotics Event.

E. Event Venue Rules & Regulations

Exhibitors agree to abide by the terms and conditions of the Event Venue.

F. Allocation of Exhibition Space

    1. Allocation of booth space will be executed on a first come first served basis (earlier signed Exhibition Contracts before later signed Exhibition Contracts), and only when the related invoice for exhibition space has been paid in full.
    2. Sponsors who also exhibit, will have first choice, on a first come first served basis (earlier signed Sponsor Contracts before later signed Sponsor Contracts), but only when the related invoice for exhibition space has been paid.

G.  Other Requirements

The Exhibitor agrees to fully comply with all applicable intellectual property laws, regulations, ordinances, rules, and requirements, including but not limited to those of the relevant province, foreign jurisdictions, local municipalities, the European Union, and any other applicable regulatory authority, with respect to any Event held at the Venue. The Exhibitor shall ensure that its activities at the Event Venue do not infringe upon the intellectual property rights or any other proprietary rights of third parties. This includes, without limitation, securing the necessary licenses, permissions, or approvals for the use of musical works, copyrighted materials, and other intellectual property that may be protected by the rights of others.

The Exhibitor acknowledges that the specified rent does not include any copyright, royalty, or intellectual property fees owed to third parties. The Exhibitor shall bear full responsibility for the reporting, payment, and remittance of such fees to the appropriate licensing bodies, and shall indemnify, defend, and hold harmless SPRINT Robotics, its affiliates, officers, employees, and agents from any and all claims, damages, liabilities, costs, and expenses arising from the Exhibitor’s failure to comply with these obligations.

SPRINT Robotics shall not be held liable for any infringement of intellectual property rights, or any claims, actions, or consequences related to the Exhibitor’s use of intellectual property at the Event Venue. The Exhibitor further agrees that SPRINT Robotics’ liability for any damages, losses, or expenses arising from the Exhibitor’s activities at the Event, including but not limited to the use of intellectual property, shall be expressly excluded, to the fullest extent permitted by law.

 

IV. SPONSOR TERMS AND CONDITIONS

The following conditions apply to companies and individuals sponsoring SPRINT Robotics Events.

A. General

    1. SPRINT Robotics shall use commercially reasonable efforts to provide the Sponsor with the sponsorship rights, benefits, and services as outlined in the selected Sponsor Package.
    2. SPRINT Robotics will make good faith efforts to receive and process Sponsor materials in a timely manner. The Sponsor is responsible for delivering all conference materials, including but not limited to reference materials, digital content, display materials, and collaterals, to SPRINT Robotics’ designated delivery site or address. The Sponsor assumes full responsibility for ensuring the quality, quantity, and protection of such materials.
    3. Sponsorship materials must meet the specifications required by SPRINT Robotics and be provided no later than the mutual specified deadline.
    4. While SPRINT Robotics will make every effort to position sponsorship components to the Sponsor’s satisfaction, the time, dates, and placement of such components remain at the sole discretion of SPRINT Robotics. However, SPRINT Robotics will use commercially reasonable efforts to accommodate the Sponsor’s preferences.

B. Liability

    1. The Sponsor assumes full responsibility for any damages caused by themselves or their representatives. The Sponsor must report all damages immediately to SPRINT Robotics and the Event Venue. In no event shall SPRINT Robotics, its directors, officers, employees, or agents, be liable for consequential, incidental, special, punitive, exemplary, or indirect damages, including but not limited to lost profits, anticipated savings, or third-party claims. The total liability shall not exceed the amounts paid by the Sponsor for the services. The liability is capped at the amount paid out by the insurance company.
    2. The Sponsor and their guests agree not to hold the Event Venue and/or SPRINT Robotics accountable for any claims or damages incurred during the conference or associated events.
    3. SPRINT Robotics and the Event Venue are not responsible for the loss or damage of merchandise, equipment, or valuables of the Sponsor left at the venue before, during, or after the event. Sponsors are advised to insure valuable items.

C. Cancellation

    1. Cancellation by the Sponsor:
      • The Sponsor may cancel without obligation to pay compensation if SPRINT Robotics declares bankruptcy, suspends payments, or is otherwise unable to perform its obligations, unless SPRINT Robotics is not responsible for its inability to comply, such as but not limited to cases of force majeure and/or government decisions
      • If the Sponsor cancels their Sponsor Package, they shall pay SPRINT Robotics all direct costs associated with their participation, including taxes
    2. Cancellation by SPRINT Robotics:

SPRINT Robotics may cancel a Sponsor Package without obligation to compensate the Sponsor if:

      • the Sponsor declares bankruptcy, suspends payments, or cannot fulfill obligations;
      • material property of the Sponsor is seized;
      • there is a change of control in the Sponsor’s company;
      • authorities instruct cancellation due to public order issues;
      • in case of force majeure and/or government decisions.

Cancellation by SPRINT Robotics under these conditions shall be at the Sponsor’s expense. The Sponsor remains liable for all direct costs associated with their participation, including taxes.

3. Postponement Disclaimer:

In the event of postponement, SPRINT Robotics will not be liable for any costs or damages incurred by the Sponsor (e.g., travel or accommodation expenses). Sponsor Packages and related services are non-refundable but transferable to the new event date(s).

D. Event Venue Rules & Regulations

Sponsors agree to abide by the terms and conditions of the Event Venue.

E. Allocation of Exhibition Space in relationship to the Sponsor Package

    1. Exhibition space is included in selected Sponsor Packages. If not included, an Exhibition Contract must be completed and signed separately.
    2. Allocation of booth space is on a first-come, first-served basis, contingent upon payment of related invoices.
    3. Sponsors with both a Sponsor Package and Exhibition Package receive priority in booth allocation, based on the order of signed contracts that SPRINT Robotics has received.

 

F. Other Requirements

The Sponsor agrees to fully comply with all applicable intellectual property laws, regulations, ordinances, rules, and requirements, including but not limited to those of the relevant province, foreign jurisdictions, local municipalities, the European Union, and any other applicable regulatory authority, with respect to any Event held at the Venue. The Sponsor shall ensure that its activities at the Event Venue do not infringe upon the intellectual property rights or any other proprietary rights of third parties. This includes, without limitation, securing the necessary licenses, permissions, or approvals for the use of musical works, copyrighted materials, and other intellectual property that may be protected by the rights of others.

The Sponsor acknowledges that the specified rent does not include any copyright, royalty, or intellectual property fees owed to third parties. The Sponsor shall bear full responsibility for the reporting, payment, and remittance of such fees to the appropriate licensing bodies, and shall indemnify, defend, and hold harmless SPRINT Robotics, its affiliates, officers, employees, and agents from any and all claims, damages, liabilities, costs, and expenses arising from the Sponsor’s failure to comply with these obligations.

SPRINT Robotics shall not be held liable for any infringement of intellectual property rights, or any claims, actions, or consequences related to the Sponsor’s use of intellectual property at the Event Venue. The Sponsor further agrees that SPRINT Robotics’ liability for any damages, losses, or expenses arising from the Sponsor’s activities at the Event, including but not limited to the use of intellectual property, shall be expressly excluded, to the fullest extent permitted by law.

G. Confidentiality

Both the Sponsor and SPRINT Robotics agree to maintain the confidentiality of proprietary or sensitive information disclosed.

Applicable Law

Dutch law is applicable for all possible disputes and/or claims between SPRINT Robotics and the Visitor, Exhibitor and/or Sponsor. Any dispute or difference or controversy arising out of relating to or in connection with any Provision of this Agreement shall be settled by the SPRINT Robotics and the Visitor, Exhibitor and/or Sponsor amicably by negotiations. If such negotiations fail, any such dispute or difference shall be finally settled by the competent judge in Amsterdam, the Netherlands.

1. Introduction
Stichting SPRINT Robotics Collaborative, located at Larenseweg 32-A3, 1221 CN Hilversum, The Netherlands (“SPRINT Robotics”), is the owner and organizer of global events including but not limited to Webinars, Seminars, Industry Challenges, Roadshows and the annual World Conference (“Event”).

You may visit the Website without providing personal data. However, to access certain services (as defined below), SPRINT Robotics may require you to provide personal data.   • Register for the Event.
